Corporate Governance and Ethics

HealthSouth is fully committed to good corporate governance and the highest standards of business conduct. In today's culture, good corporate governance and adherence to a high ethical standard is simply good business.

We are dedicated to conducting our business with the highest level of integrity for our investors. In October 2003, we implemented our revised Corporate Compliance and Ethics Program to assist HealthSouth directors, officers and employees in making the right choices regarding our business practices. Our revised Corporate Compliance and Ethics Program is described in our Corporate Compliance Handbook, which includes our revised Standards of Business Conduct.

We are also dedicated to effective corporate governance. In January 2004, the Board of Directors approved a number of changes
in our corporate governance platform in the interest of transparency and accountability to our stakeholders. Our principles of corporate governance meet or exceed the requirements of the Sarbanes-Oxley Act of 2002 and the revised listing standards of the New York Stock Exchange. HealthSouth's principles of corporate governance are set out in our Corporate Governance Guidelines and the various charters of the standing committees of our Board
of Directors.

It also describes your rights to access and control your protected health information. "Protected health information" is information about you, including demographic information, that may identify you and that relates to your past, present or future physical or mental health or condition and related healthcare services.
